Position Overview
We're looking for an experienced attorney to serve as Senior Counsel, Digital Products, Data Analytics & Intellectual Property within our Legal Department. In this role, you'll provide strategic legal counsel and guidance to our Digital Product and Data Analytics teams, helping to navigate the complex legal landscape surrounding technology, intellectual property, data privacy, and digital product development.
This position offers the chance to work on a diverse range of legal matters, from structuring and negotiating technology agreements to advising on intellectual property strategy and ensuring compliance with privacy and security regulations. You'll be a trusted advisor to business leaders, product managers, and cross-functional teams, helping them bring innovative digital products and services to market while managing legal risk.
The ideal candidate will be a strategic thinker with excellent legal expertise, strong business acumen, and the ability to thrive in a fast-paced, dynamic environment. You'll need to be comfortable handling matters of varying complexity, from routine contract review to high-stakes negotiations involving complex technology transactions.
Key Responsibilities
- Strategic Legal Counsel: Provide authoritative legal advice and recommendations to operational leaders and management across various specialty units regarding matters of fundamental to intermediate complexity that impact business activities and operations. You'll serve as a trusted advisor, helping business teams navigate legal issues while achieving their strategic objectives.
- Technology & IP Expertise: Demonstrate mastery in technology transactions, product counseling, intellectual property, marketing, and privacy and security laws. You'll need to be a generalist who can quickly learn new areas of law and legal skills while providing end-to-end product guidance for our digital initiatives.
- Contract Negotiation & Structure: Structure and negotiate a wide range of business agreements supporting arenaflex's Digital and Data Analytics/Insights Organizations, including master service agreements, vendor agreements, data licensing/integration agreements, and supply agreements. You'll ensure that our contracts protect arenaflex's interests while enabling strategic partnerships.
- Cross-Functional Collaboration: Partner with teams across arenaflex Digital Product and Data Analytics groups, as well as external partners who are building, deploying, and operating technology for use by customers and patients. You'll work collaboratively to ensure legal considerations are integrated into product development from the outset.
- Product Launch Support: Work cross-functionally with business, product, marketing, insurance, security, and technology teams to bring our digital product and service offerings to market. You'll help ensure compliance with applicable laws and regulations while enabling innovation and speed to market.
- Digital Product Understanding: Develop and maintain a thorough understanding of arenaflex's digital product and service offerings, technology infrastructure, privacy/data protection systems and policies, and standard business and various agreements. This foundational knowledge will enable you to provide comprehensive legal support across arenaflex's Digital teams.
- Intellectual Property Strategy: Maintain awareness of arenaflex's business objectives, technology and product goals, and challenges to establish and execute intellectual property portfolio strategies that facilitate those goals, capture investments in innovation, and minimize legal risk. You'll work closely with external counsel to develop and implement IP strategies that protect arenaflex's innovations.
- Document Review & Management: Review and prepare legal documents before presentation to management for execution, ensuring accurate articulation of legal substance. You'll ensure that all legal documentation accurately reflects the business agreement and protects arenaflex's interests.
- Legal Research & Analysis: Research legal principles and precedents, engage with and manage outside counsel, draft legal documents, and gather relevant case-related information using multiple sources and methods. You'll provide work guidance to other professional, paraprofessional, and clerical staff in developing solutions to complex legal issues.
- Risk Mitigation & Business Alignment: Collaborate with the specialty units you serve to achieve corporate objectives and mitigate unnecessary business risk. You'll balance legal compliance with business goals, finding practical solutions that enable innovation while protecting the organization.
Essential Qualifications
To be considered for this position, candidates must meet the following requirements:
- Education: Juris Doctor (JD) from an accredited law school is required. Your legal education provides the foundation for understanding complex regulatory frameworks and providing sound legal counsel.
- Bar Admission: Active licensure to practice law in at least one U.S. state is required. Illinois bar admission or active bar membership in at least one U.S. jurisdiction is preferred, reflecting our headquarters location and the importance of Illinois-based legal expertise.
- Experience: Minimum of 5 years of post-bar attorney legal work experience is required, with a combination of law firm and corporate settings preferred. This experience should demonstrate your ability to handle complex legal matters and provide strategic counsel to business stakeholders.
- Time Management: Strong time management skills, including the ability to prioritize/organize and track details while meeting deadlines for multiple tasks with varying completion dates. In our fast-paced environment, the ability to manage competing priorities is essential.
- Financial Acumen: Minimum of 5 years of experience contributing to financial decisions in the workplace. Understanding business economics and financial implications is crucial for providing practical legal advice.
- Leadership Experience: Minimum of 5 years of direct leadership, indirect leadership, and/or cross-functional team leadership experience. You'll need to guide teams, influence stakeholders, and drive results across organizational boundaries.
Preferred Qualifications
While not required, the following qualifications would make you an ideal candidate:
- Fast-Paced Environment Experience: Ability to thrive in a fast-moving environment where prioritization and the ability to work independently are requirements for success. Our digital teams move quickly, and our legal partners must be able to keep pace while maintaining quality and rigor.
- Technology Transactions Background: Experience with technology agreements, software licensing, SaaS contracts, and data sharing arrangements. Understanding the unique legal issues in technology transactions is highly valuable.
- Healthcare or Pharmacy Industry Experience: Familiarity with healthcare regulations, pharmacy law, or pharmaceutical industry matters. While not required, industry knowledge can accelerate your ramp-up in this role.
- Data Privacy & Security Expertise: Knowledge of data privacy laws (such as HIPAA, CCPA, and GDPR) and security regulations. Given our focus on digital products and data analytics, this expertise is particularly relevant.
- Intellectual Property Experience: Background in IP portfolio management, patent prosecution, trademark matters, or licensing. Protecting arenaflex's innovations is a key responsibility of this role.
